AGENDA

  

1.  CALL TO ORDER (Room 305)

 

2.   EXECUTIVE SESSION - The BCD Board of Directors has determined the
necessity to go into executive session under the authority of Texas
Government Code, Section 551.071, consultation with attorney - receive
legal advice regarding documents related to the acquisition and sale of
land in west Bryan for economic development purposes; and under the
authority of Section 551.072, real estate - discussion regarding
acquisition and sale of land in west Bryan for economic development
purposes. 

 

3.   OPEN SESSION FOR ACTION FOLLOWING EXECUTIVE SESSION, IF NEEDED
(Council Chambers)

 

4.   Consideration - Assignment and Assumption Agreement

      Consider authorizing the president of Bryan Commerce and
Development, Inc., to execute an assignment and assumption agreement
with Intercap Institutional Investors for the acquisition of
approximately 56.217 acres of land in west Bryan for economic
development purposes.

 

5.   Consideration - Commercial Contract for Unimproved Property

      Consider authorizing the president of Bryan Commerce and
Development, Inc., to execute a commercial contract for unimproved
property with Intercap Institutional Investors for the sale of
approximately 56.217 acres of land in west Bryan for economic
development purposes.

 

6.   Consideration - Placement AGENT Agreement

      Consider authorizing the president of Bryan Commerce and
Development, Inc., to execute a placement agreement with First Southwest
Company for the placement of a loan for the purchase of approximately
56.217 acres of land in west Bryan.

 

7.   CONSIDERATION - LOAN AGREEMENT

      Consider authorizing the president of Bryan Commerce and
Development, Inc., to execute a loan agreement with an outside lending
institution for the purchase of approximately 56.217 acres of land in
west Bryan.
